Welcome to Smart Shots. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Services

Smart Shots provides AI-powered fashion photography services, including:

• Access to a curated selection of AI-generated fashion models
• Professional 4K product photography using AI technology
• Custom photoshoot scenarios and backgrounds
• Multiple pricing packages (Request a Demo, Packet 1, Packet 2, Packet 3, and Advanced plans)
• Consultation and demo services for prospective clients

3. User Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Account and Registration

To access certain features of our services, you may need to provide information through our onboarding form, including your email address, business details, and product information. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Not impersonate any person or entity
• Not use our services for any illegal or unauthorized purpose

5. Pricing and Payment

5.1 Pricing Plans

Our services are offered at the following pricing tiers:

• Request a Demo: Free
• Packet 1: $75.99 for 15 photos (regularly $99.99)
• Packet 2: $125.00 for 30 photos (regularly $150.00)
• Packet 3: $225.99 for 50 photos (regularly $300.00)
• Advanced: Custom pricing for ongoing partnerships and large-scale projects

5.2 Payment Terms

Pricing is subject to change with notice. All prices are in USD. Payment is required before project commencement, unless otherwise agreed in writing. We reserve the right to refuse service or cancel orders at our discretion.

6. Content and Intellectual Property

6.1 Your Content

When you upload product images or provide product descriptions ("Your Content"), you retain ownership of Your Content. By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process Your Content solely for the purpose of providing our services.

6.2 Generated Images

Upon full payment, you receive a commercial license to use the AI-generated product images we create for your business purposes. Smart Shots retains ownership of the AI models and underlying technology. Generated images may not be resold as standalone digital assets or used to train competing AI models.

6.3 Our Content

All content on our website, including text, graphics, logos, and software, is the property of Smart Shots and is protected by intellectual property laws. You may not use, reproduce, or distribute our content without explicit written permission.

7. Prohibited Uses

You agree not to use our services to:

• Create or distribute illegal, harmful, or offensive content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful software
• Attempt to reverse engineer or exploit our AI technology
• Generate images that could be used for deceptive or fraudulent purposes
• Create content that violates our content policy or community standards

8. Service Delivery and Turnaround Time

We aim to deliver AI-generated product images within 3-4 days from project commencement. Actual delivery times may vary based on project complexity and our current workload. For the Advanced plan, we will establish a custom delivery schedule in consultation with you. We are not liable for delays caused by circumstances beyond our reasonable control.

9. Refunds and Cancellations

Due to the custom nature of our AI-generated content, we generally do not offer refunds once work has commenced. However, we are committed to customer satisfaction and will work with you to address any concerns. Requests for refunds or cancellations must be submitted in writing to leonforprivate@gmail.com within 24 hours of payment.

10. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive to provide high-quality AI-generated images, we do not guarantee that our services will be uninterrupted, error-free, or meet all your requirements. We are not responsible for how you use the generated images or any consequences arising from such use.

11. Limitation of Liability

To the maximum extent permitted by law, Smart Shots and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of our services. Our total liability shall not exceed the amount you paid for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Smart Shots and its affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your use of generated images; (c) Your Content that you provide; or (d) your violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Mauritius, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Mauritius.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
